Dealer Subscription Agreement
Last updated: August 25, 2026
This agreement is between [COMPANY LEGAL NAME, LLC], an Illinois limited liability company ("CarTour", "we", "us") and the dealership that subscribes to CarTour ("Dealer", "you"). It governs your paid use of the CarTour dealership dashboard and the publication of your inventory on CarTour.
It applies in addition to the Terms of Service, the Acceptable Use Policy and the Listing Disclosures. Where this agreement and the Terms of Service conflict on a subject this agreement covers, this agreement controls.
You accept it by subscribing, by publishing a listing, or by continuing to use the dashboard. The person accepting confirms they are authorised to bind the dealership.
1. Eligibility
You must be a motor vehicle dealer licensed in every state where you do business, and you must keep that licence current. Tell us at [SUPPORT EMAIL] if it lapses, is suspended or is revoked. We may ask for evidence of your licence at any time, and may suspend publishing until we receive it.
2. What we provide
A dashboard for publishing and managing vehicle listings, uploading and organising video and photography, receiving and working leads, scheduling test drives, managing team access, and viewing analytics — and distribution of your listings to shoppers in the CarTour app.
We may change, add or remove features. If we remove a material feature you are paying for, you may cancel under section 6 and we will refund the unused portion of your current term.
We do not guarantee any number of views, leads, appointments or sales. No projection, benchmark or figure shown in analytics or in any sales material is a promise of results.
3. Rooftops
A subscription covers one rooftop — one licensed dealership location. A dealer group with several locations needs a subscription for each. Listings, media, leads, team members and analytics are scoped to their rooftop, and staff at one rooftop cannot see another's data unless you grant them access there.
4. Seats and team access
- Your plan includes a number of seats. Each person with access to your rooftop uses one, and an invitation that has been sent but not yet accepted holds a seat until it is accepted or revoked.
- Seats are named, not shared. Do not share logins — you are responsible for everything done under your rooftop's accounts.
- You control who has access and what role they hold, and you can remove anyone at any time. Removing departing staff promptly is your responsibility, not ours, and it is the single most important thing you can do to protect your lead data.
- Adding seats beyond your plan's limit changes what you pay, from the next billing period.
5. Fees, billing and renewal
- Plan and price. The plan, price and billing period are the ones shown when you subscribe and in the dashboard's Billing section. Fees are in U.S. dollars and exclusive of taxes, which we add where required.
- Payment. Billing is handled by Stripe. You authorise us, through Stripe, to charge your payment method for all fees as they fall due. We do not receive or store your full card number. Manage payment methods, invoices and receipts through the billing portal in the dashboard.
- Trials. A trial gives you full access for the stated period. Add a payment method before it ends to keep publishing. If you do not, publishing stops and your listings are unpublished; nothing is charged.
- AUTOMATIC RENEWAL. Your subscription renews automatically at the end of each billing period, for another period of the same length, and your payment method is charged at the then-current price, until you cancel. You may cancel at any time in the dashboard's Billing section — see section 6.
- Price changes. We may change prices with at least 30 days' notice before the change takes effect, by email to your account address and in the dashboard. The new price applies from your next renewal. If you do not accept it, cancel before that renewal.
- Late or failed payment. If a charge fails we may retry it and will tell you. If it remains unpaid we may suspend publishing, and after 30 days may terminate the subscription. Amounts more than 30 days overdue may bear interest at 1.5% per month or the maximum the law allows, whichever is less.
- Disputes. Tell us about a billing error within 60 days of the invoice and we will investigate. Please raise it with us before starting a chargeback — a chargeback suspends the account automatically while it is open, which stops your listings.
6. Cancellation and refunds
- Cancel at any time in the dashboard's Billing section. Cancellation takes effect at the end of the current billing period; you keep access until then.
- Fees already paid are non-refundable, except where this agreement says otherwise or the law requires it. We do not pro-rate a partial period.
- We may terminate for convenience with 30 days' notice, refunding the unused portion of your current term.
- No refund is due where we terminate for your breach.
7. Lead data — what you may and may not do with it
When a shopper sends you an inquiry, their name, contact details, message and any requested appointment reach you. They are contacting you about one vehicle, and that is the scope of what they have agreed to.
You may use inquiry data to respond to that shopper about that vehicle and your inventory, in the ordinary course of selling them a car.
You may not:
- sell, rent, licence or transfer lead data to anyone — including lead aggregators, other dealerships, and any company in your group that the shopper did not contact;
- add shoppers to marketing lists, mailings or SMS campaigns unrelated to their inquiry without their separate consent;
- continue contacting a shopper who has asked you to stop, replied STOP, or unsubscribed — honour it immediately, on every channel;
- use lead data to build or enrich a dataset, or feed it to a third-party CRM or dialler that will use it for its own purposes;
- use it in any way that breaks the Telephone Consumer Protection Act, the CAN-SPAM Act, state telemarketing and do-not-call law, or state privacy law.
You are the controller of lead data once it reaches you, and you are responsible for handling it lawfully — including responding to a shopper's privacy requests about the record you now hold. You will indemnify us for claims arising from your handling of it, as set out in the Terms of Service.
8. Your listings
You are solely responsible for your listings and their accuracy. For each one you represent that:
- you have the right to sell the vehicle, and it is in your inventory or under a firm agreement to acquire it;
- price, mileage, VIN, condition, title status, history, fees and warranty disclosure are accurate and not misleading;
- you own or have licensed every asset you upload — video, photography, music, logos — and have the consent of anyone identifiable in them;
- your advertising complies with the FTC Act, the FTC Used Car Rule (16 CFR Part 455), the Truth in Lending and Consumer Leasing Acts where you show credit or lease terms, and the advertising, licensing and disclosure rules of every state you advertise into;
- you will update or remove listings for sold or unavailable vehicles promptly.
CarTour applies standard disclosures to every listing — see Listing Disclosures. Those are a floor. They do not discharge your own legal obligations, and they are not legal advice to you.
Inventory feeds. If you import inventory from a feed or a DMS, you are responsible for what it sends, and you warrant you have the right to provide that data to us. A feed's errors are your listings' errors.
You grant us the licence in section 6 of the Terms of Service to host and display your listings within the Service. We may reformat media for delivery, and may decline or remove any listing.
9. Suspension and termination
We may suspend or terminate your subscription, with notice where practical and without it where waiting would cause harm, if you breach this agreement or the Acceptable Use Policy, if your dealer licence lapses, if payment fails, if you are the subject of repeated copyright notices, or if we are required to by law.
Where the problem is fixable and not serious, we will normally tell you and give you a reasonable chance to fix it first.
10. What happens to your data when it ends
- Your listings are unpublished immediately and stop appearing to shoppers.
- For 30 days afterwards you keep read-only access to export your inventory records and lead history, and to download your uploaded media. Export before that window closes.
- After 30 days we may delete your rooftop's inventory, media and lead records. Deletion is permanent.
- We keep billing and tax records for as long as the law requires, and security logs for their retention period.
- Individual staff accounts are separate from the rooftop; a person keeps their own login and loses only access to your rooftop.
If you need longer than 30 days, ask at [SUPPORT EMAIL] before the window closes.
11. Confidentiality
Each of us may learn non-public information about the other — pricing, roadmap, performance data. Use it only for this agreement, protect it as you would your own confidential information, and do not disclose it, except where you must by law and after telling the other party if you are permitted to. This does not cover information that is public, that you already had, or that you develop independently.
We may identify you as a CarTour dealership and use your dealership name and logo for that purpose. Tell us at [SUPPORT EMAIL] if you would rather we did not, and we will stop.
12. Warranties, liability and indemnity
The disclaimers, limitation of liability and indemnity in sections 15 to 17 of the Terms of Service apply to this agreement and are incorporated into it. Our total liability to you is limited to the fees you paid us in the twelve months before the claim, and neither of us is liable to the other for indirect or consequential loss, including lost profits or lost sales.
13. Disputes
Section 18 of the Terms of Service applies — individual arbitration, a class-action waiver, and a 30-day right to opt out — with the American Arbitration Association's Commercial Arbitration Rules applying to claims brought by a dealership. Illinois law governs, and any matter not arbitrated is heard in Cook County, Illinois.
14. Changes to this agreement
We may update this agreement. Material changes take effect at your next renewal and we will give you at least 30 days' notice by email and in the dashboard. Continuing after that renewal means you accept them; if you do not, cancel before it.
15. General
Neither of us is the other's agent, partner or employer. You may not assign this agreement without our written consent, except to a successor to your dealership that is licensed and meets section 1, and you must tell us. We may assign it to an affiliate or a successor to our business. If a provision is unenforceable, the rest stands. This agreement, with the documents it references, is the entire agreement between us about your subscription and replaces any prior proposal or discussion.
